TERMS OF SERVICE

These Terms of Service (“ Terms ”) constitute a legally binding document (this “ Agreement ”) between you and MyGCnow LLC, (“ MyGCnow ,” the “ Company ,” “ we ,” or “ us ”) that governs your right to use our websites, applications, technology, artificial intelligence tools, software, services, and other offerings (collectively, the “ Platform ”). Any individual or entity that accesses, visits, browses, registers for, or otherwise uses the Platform, whether as a guest, registered account holder, service provider, professional, contractor, homeowner, customer, or other participant (each, a “ User ”), including any individual authorized to access or use the Platform on behalf of a User (each, an “ Authorized User ”), and unless the context clearly requires otherwise, references to a User include Authorized Users. Please read this Terms of Service carefully before you start to use the Platform. By using the Platform or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, found at privacy.html, incorporated herein by reference. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Platform. Certain features, tools, paid offerings, or uses of the Platform may be subject to one or more separate written agreements between you (or the organization you represent) and MyGCnow, including, without limitation, the applicable Software End User License Agreement governing access to and use of software, applications, or software-enabled features, and any other agreements described in these Terms as supplemental agreements (each, a “Supplemental Agreement”). To the extent you access or use any portion of the Platform pursuant to a Supplemental Agreement, that Supplemental Agreement will govern such access or use, and in the event of any conflict between a Supplemental Agreement and these Terms (or the Privacy Policy), the Supplemental Agreement will control solely to the extent of the conflict. Certain Platform features, workflows, or functionality may require a User to enter into one or more Supplemental Agreements, including a Software End User License Agreement or other technology-related agreements, regardless of whether a fee is charged for the specific feature, use, or monetary exchange initiated, authorized, recorded, or processed through the Platform (“Transaction”). The applicability of any Supplemental Agreement is determined by the nature of the Platform functionality accessed or used, and not solely by whether a Transaction involves a monetary exchange. In some instances, a User may enter into both a technology-related Supplemental Agreement and a separate construction services agreement with MyGCnow Construction. Each such agreement governs distinct and independent aspects of the parties’ relationship, and the existence, execution, or enforcement of one agreement does not modify, replace, or expand the scope of the other. The Company may, in its sole discretion, elect to waive certain technology-related fees when acting in a general contractor capacity pursuant to a separate construction agreement; however, any such fee waiver does not waive, limit, or negate the applicability of the relevant technology agreements governing Platform access, software use, or technology services.

The MyGCnow Platform

The MyGCnow Platform is an integrated technology platform and construction service ecosystem designed to simply and improve the construction project experience. The Platform offers two primary service lines and operates under separate trade names for each one, respectively: MyGCnow Tech and MyGCnow Construction.

MyGCnow Tech.

MyGCnow Tech is the trade name (also known as a “DBA”) of MyGCnow LLC used to identify its software-only offerings and technology services and operates solely as a software-based platform. Through the Platform, MyGCnow Tech provides access to software tools and enables Users seeking construction-related services to identify, communicate with, and receive offerings from independent third-party service providers, who alone offer, perform, and control any such services. MyGCnow Tech offers various software tools, applications, and technology-enabled features, which may vary depending on the Platform features and version you use, including the following: Free Version. The free version of MyGCnow Tech offers tools that are free to all Users, including but not limited to estimating utilities, floorplan room scanning, secure communication with other Users, and inspection uploads. Premium Version. The premium version of MyGCnow Tech offers services that are available to Users who purchase the premium version, including but not limited to services relating to contracted projects, subscriptions, and advanced technology services. MyGCnow Tech does not perform, supervise, direct, or warrant construction work. Any work performed by an independent contractor is solely the responsibility of that contractor and their client. It shall be the sole responsibility of such independent contractor and/or the client to verify the independent contractor’s licensing, insurance, bonding, and other qualifications relating to the procured services. MyGCnow disclaims any liability relating to the accuracy or completeness of such information even if such information is accessible through the Platform. Such information is provided for informational purposes only, may not be current, complete, or accurate, and shall not be relied upon without User’s independent verification.

MyGCnow Construction.

MyGCnow Construction is a trade name of MyGCnow LLC , a Wyoming limited liability company, used to identify its operations as a duly licensed general contractor in the State of Washington. When MyGCnow Construction elects to accept a project as the general contractor, it does so by entering into a separate written construction agreement directly with the applicable User, acting in that instance as an independent third-party service provider through the Platform. In such instances, MyGCnow Construction is responsible, solely in that independent capacity, for performing the work, obtaining required permits, and complying with applicable safety, labor, and other regulatory requirements in accordance with the terms of that construction agreement and applicable law. Unless and until MyGCnow Construction enters into such a separate written construction agreement, all services, features, and functionality made available through the Platform are provided solely by MyGCnow Tech as technology-only offerings. Except where expressly stated otherwise in these Terms or in a separate written construction agreement entered into with MyGCnow Construction, references to “MyGCnow,” the “Company,” “we,” or “us” refer exclusively to MyGCnow Tech in its capacity as a technology services provider and do not include construction, contracting, project management, or similar services.

Brand Terminology and Intended Meaning

The MyGCnow name is a composite brand identifier used solely for marketing, Platform identification, and User-facing reference purposes. No portion of the MyGCnow name is intended to describe, define, or represent the nature, scope, or provision of any services, nor to identify any specific service provider, third party, licensure status, or professional role. The MyGCnow name does not create, and shall not be interpreted as creating, any agency, authority, delegation, professional obligation, or service relationship of any kind, except as may be expressly established pursuant to an applicable Supplemental Agreement, or where applicable, a separate construction agreement entered into with MyGCnow Construction. “My” functions solely as a branding reference to user access and platform availability and does not create or imply ownership, control, agency, partnership, fiduciary duty, or individualized relationship between MyGCnow and any User. It is purely a naming element and confers no rights, responsibilities, or obligations of any kind. “ GC ” is an abbreviation that, depending on context, may refer to multiple functional, descriptive, or industry-related meanings across the Platform. None of such terminology uses, individually or collectively, create or imply any partnership, joint venture, agency relationship, fiduciary duty, employment relationship, licensing status, professional designation, endorsement, sponsorship, supervisory role, or legal representation of any kind between the Company, its affiliated entities, or any User, nor do they expand, replace, or modify any rights, duties, or obligations otherwise established under this Agreement or applicable law. For purposes of clarity, MyGCnow Tech and MyGCnow Construction are referenced and described in Sections 1.1 and 1.2, respectively, of these Terms of Service. By historical convention, the Company’s use of “GC” may refer to “General Contractor” solely as a reference to the construction industry and market sector in which certain Users, professionals, or independent service providers may operate. The Platform itself does not provide construction services in a contracting or supervisory capacity. Accordingly, the use of “GC” in this context does not represent or imply that the Company, MyGCnow Tech, or any User is acting as a general contractor, nor that general contracting services are being offered, supervised, managed, or performed through the Platform, except where MyGCnow Construction, in its licensed capacity, independently and directly enters into a separate written construction agreement with a User, as described in Section 1.2. A third-party service provider may independently offer general contractor services or other professional services where such provider enters into its own separate agreement with a User, to which the Company is not a party, and operates within its own lawful capacity, including maintaining all required licenses, permits, registrations, insurance, and regulatory compliance. Any such third-party service providers operate independently and remain solely responsible for their services, representations, and legal obligations. For the avoidance of doubt, the Company does not affiliate with, endorse, certify, recommend, or verify any User, professional, or third-party service provider, including through rankings, visibility, platform tools, or other user-facing features, and does not make representations regarding their qualifications, credentials, or services. References to “GC” do not constitute approval, sponsorship, or verification of any kind and do not alter the independent legal status or responsibilities of any User or service provider. In addition to its historical usage, “GC” may also be used contextually to describe other functional roles or applications of the Platform, including, without limitation: (i) a General Consumer tool when used by homeowners or other entities that initiate a project;

(ii) a General Company tool when accessed by businesses or entities operating in a commercial capacity;

(iii) a General Communication tool when referring to User messaging, collaboration, or information-sharing features;

and (iv) a General Client tool when professionals or service providers access the Platform’s features to interact with client Users. These contextual uses reflect branding and functional reference only and do not define the nature of the Platform, the Services, or any legal relationship. The applicable meaning of “GC” is determined by context within this Agreement and the Platform features being referenced, may vary across offerings and Users, and may evolve as the Company develops additional programs, tools, or services. All such uses are descriptive only and do not alter the independent legal status, licensing requirements, regulatory responsibilities, or risk allocation applicable to the Company, its affiliated entities, or any User. “Now” conveys a branding concept of accessibility, connectivity, and platform responsiveness and is aspirational rather than descriptive. It does not guarantee immediate availability, performance, timing, results, or delivery of any services by MyGCnow, MyGCnow Construction, MyGCnow Tech, or any User or third-party provider. Platform Neutrality . MyGCnow operates as a neutral, use-at-will digital environment where Users and independent professionals may connect and coordinate at their sole discretion. MyGCnow does not control, direct, or participate in hiring, recruitment, solicitation, or service provider selection activities, nor does it act as a headhunter, recruiter, staffing agency, labor broker, or employment intermediary. All parties act independently, and MyGCnow does not source, refer, endorse, vet, or determine suitability, terms, or performance of any User or service provider. Information displayed on the Platform is general and unverified and should not be used as the basis for making any engagement or service-related decisions. MyGCnow provides a technology platform that facilitates access to tools, features, and information and enables Users to connect with one another and with independent third parties, whether or not such third parties are Users. MyGCnow does not provide construction, contracting, professional, supervisory, or advisory services; does not control or direct the performance of any User or third party; and does not endorse, recommend, or guarantee the quality, pricing, legality, suitability, or outcomes of any services, materials, estimates, bids, or information provided by Users or third parties through the Platform. No agency, partnership, joint venture, employment, or similar relationship is created between MyGCnow and any User or any third party as a result of use of the Platform. Platform Reciprocal Rating System . The Platform includes a reciprocal rating system that promotes accountability and transparency among all User types. By creating an account, you agree to participate in the rating system and understand that others you engage with may, at their discretion, rate aspects of your interaction, including performance, communication, professionalism, reliability, timeliness, customer satisfaction, and overall conduct. No User is required to rate another User; however, no User may opt out of the Platform’s rating system itself. Ratings are personal opinions based on individual experience and may be subjective. They are provided by Users, not by MyGCnow, and MyGCnow does not validate, verify, investigate, or guarantee the accuracy, completeness, fairness, or reliability of any rating or feedback. MyGCnow may, but is not obligated to, review or remove ratings. Ratings cannot be purchased, and MyGCnow does not endorse or promote any User’s rating. Ratings, ranking positions, visibility, and search placement are informational only and may change at any time due to feedback, algorithmic processes, marketplace factors, or safety considerations. To support Platform trust and safety, the Platform may display a User’s rating whenever that User is surfaced, matched, searched, connected, or presented to others in any project, service interaction, or User-to-User connection. Both professional and non-professional Users acknowledge that their ratings may become visible to other Users as they review one another for a potential fit or they are linked in any project or transactional pathway. By submitting, posting, or publishing any rating, review, testimonial, comment, or feedback through the Platform, you acknowledge and agree that your name, username, business name, profile identifier, and associated rating or review content may be displayed in connection with that review to other Users and may remain associated with such review as part of the Platform’s accountability and transparency features. You grant MyGCnow a non-exclusive, worldwide, royalty-free right and permission to host, display, reproduce, publish, distribute, and maintain such review content, together with your associated reviewer identity as submitted, for operation of the Platform, trust and safety functions, dispute resolution, marketing or promotional use using aggregated or representative review excerpts, and related Platform purposes. You represent and warrant that you voluntarily submit such reviews, authorize the display of your reviewer identity in connection with them, waive any claim that such display constitutes a violation of privacy, publicity, attribution, or similar rights arising solely from such authorized use, and acknowledge that no compensation is owed in connection with such use. MyGCnow reserves the right, but not the obligation, to moderate, remove, suppress, or retain reviews consistent with these Terms. The Platform may elevate the visibility of Users based on rating-related performance. High-performing professional Users may receive merit-based visibility boosts earned solely through consistently positive ratings, strong interaction histories, or other non-purchased performance indicators that support informed User decision-making and overall Platform safety. MyGCnow retains the right to hide, remove, suppress, anonymize, or adjust the visibility of any rating and prohibits attempts to manipulate ratings through coordinated behavior, incentives, threats, or artificial accounts. Search placement and visibility may reflect earned rating levels, and MyGCnow may adjust visibility criteria at any time to enhance safety or prevent misuse. MyGCnow may restrict, suspend, or remove accounts that fall below acceptable rating thresholds or require corrective measures. MyGCnow is not responsible for the actions, decisions, or outcomes of other Users who may view or rely upon ratings, and ratings do not create any employment or agency relationship with MyGCnow. MyGCnow may retain rating data after account closure for safety, compliance, or operational purposes, and Users are not entitled to demand removal or explanation of proprietary rating calculations or visibility logic. MyGCnow retains the right to modify, replace, or eliminate the rating system at any time in its sole discretion. Platform Feature Availability . Some elements of the Platform, or advertised Platform features, may not be available, may function differently for different Users, or may vary by device, region, or account type. Some elements are in beta testing and may be released in stages, or may be withdrawn without notice. There is no guarantee of service or availability of any products, features, tools, workflows, or Platform functions, whether currently offered or anticipated. We reserve the right to add, remove, or alter MyGCnow services and Platform offerings at any time, including modifying how features operate, changing levels of access, transitioning free features to paid offerings (or vice versa), suspending experimental functionality, or discontinuing any aspect of the Platform in our sole discretion. Users acknowledge that these changes may occur without prior notice and do not entitle any User to compensation, refund, or continued access to any specific feature or service. Certain Platform features, services, tools, paid offerings, or uses may be made available subject to one or more applicable Supplemental Agreements between you and MyGCnow that apply to the specific feature, service, offering, or market. Your access to and use of any such feature or service is conditioned upon your ongoing compliance with the terms of the applicable Supplemental Agreement. To the extent you access or use any portion of the Platform pursuant to a Supplemental Agreement, that Supplemental Agreement will govern such access or use, and in the event of any conflict between a Supplemental Agreement and these Terms, the Privacy Policy, or the EULA Policy, the Supplemental Agreement will control solely to the extent of the conflict.

Changes to the Terms of Service

We may revise and update this Agreement from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the MyGCnow Platform thereafter. Your continued use of the MyGCnow Platform following the posting of the modified Agreement means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. When material updates occur, we will provide reasonable notice, which may include posting a notice within the Platform or updating the “Last Modified” date, and any one form of notice will be deemed sufficient. All updates are binding upon you, and your continued access or use constitutes acceptance of the updated terms.

Using the Platform

Eligibility. To use the Platform, you agree that you: (1) must be at least 18 years old; (2) will only have one registered account; (3) are not already restricted by MyGCnow from using the Platform. Creating an account with false information is a violation of these Terms, including registering accounts on behalf of others. Registration and Your Account. Certain services offered on the Platform require registration. For those services, you must provide complete, accurate, and truthful information and update the registration information promptly if there are any changes. Registered Users are responsible for: (1) maintaining the confidentiality of their login credentials, and (2) for all usage and activity that occur under their account including use or activity by any third party they authorize or invite to access, use or connect to their account; and (3) all statements made or materials posted under their account, including liability for harm caused by such statements or materials. You may not assign or transfer your account to any other person or entity without our prior written permission. You agree that MyGCnow is not responsible for third-party access to your account that results from the theft or misappropriation of your login credentials. Paid Offerings (“Premium Version”). If there is a fee to use the Platform, including any premium, upgraded, or similarly designated offering of MyGCnow Tech, the fee will be disclosed prior to registration and charged as outlined in an applicable Order Form. Paid offerings remain subject to these Terms, the Privacy Policy, and the EULA Policy, and may also be subject to an applicable Supplemental Agreement and/or Order Form, which shall supplement, and not replace, those governing terms, except as expressly provided in the applicable Supplemental Agreement. Notices and Messaging. You understand that by registering with the Platform, you may receive regular updates, marketing, and other communications regarding new or existing MyGCnow products and services. You agree that MyGCnow will provide notices and messages to you in the following ways: (1) within the Platform, or (2) sent to the contact information you provide us (e.g., email, mobile number, physical address). You may opt out of receiving promotional or marketing communications from us at any time by using the unsubscribe link in the email communications we send. Linking to the Platform. You may provide links to the Platforms, provided: (1) you do not remove or obscure, by framing or otherwise, any portion of the web pages, the Terms, or any notices on the Platform, and (2) you discontinue providing links to the Platform if requested by us.

MyGCnow Tech.

MyGCnow Tech is strictly a software services technology provider and does not provide any construction services. MyGCnow Tech offers Platform tools and functionality to its Users, including without limitation a digital administrative workspace and a communication hub, to facilitate User-to-User connection, coordination, and information exchange through the Platform. Any services that you use or interact with on the Platform are services rendered to you by MyGCnow Tech. For clarity, such services refer solely to the Platform’s software-based tools, features, and functionality, and expressly exclude any services, work, deliverables, or performance provided by other Users or third-party service providers. Your use of the Platform and the services offered by MyGCnow Tech does not create the following: Any partnership, joint venture, agency, franchise, sales relationship, or employment relationship between you and MyGCnow; Any contractual privity between you and MyGCnow, and in particular in the capacity as a general contractor, subcontractor, construction manager, project manager, supervisor, warden, consultant, or fiduciary; Any liability taken on by MyGCnow relating to a project or services you entered into with a third-party on the Platform, including without limitation to project schedule, materials, losses, methods, safety, financing, quality of work, representations and warranties, milestones, final completion, building codes and/or permits. If a third-party User, as the “Client,” and a third-party independent contractor, as the “Independent Contractor,” enter into a construction contract through their respective use of the Platform, each such party shall, through registration, access to, or continued use of the Platform, be subject to and enter into the End User License Agreement (“EULA”) with MyGCnow Tech. The EULA, as between MyGCnow Tech and the Client, and as between MyGCnow Tech and the Independent Contractor, establishes the limited nature of the technology service provider relationship and the fees for such services pursuant to Section 6.

MyGCnow Construction.

MyGCnow Construction is a licensed general contractor in the State of Washington. All services rendered through MyGCnow Construction to you will be done in accordance with the terms and conditions of the construction services agreement you enter into with MyGCnow Construction. Your contractual privity with us for any general contractor services will be limited to such terms and conditions of such construction services agreement. Notwithstanding your use of the Platform and/or services rendered by MyGCnow Tech to enter into a contractual relationship with MyGCnow Construction, your use of MyGCnow Tech shall not create any relationship, privity, or liability by MyGCnow Tech pursuant to Section 4 herein. MyGCnow Construction shall have a right of first offer with respect to all estimates a User may publish on the Platform; however, a User is not obligated to select MyGCnow Construction for contractor services. In the event MyGCnow Construction exercises its right of first offer on a project bid, that project bid shall then be made available through MyGCnow Tech’s hailing system (the “ MyGCnow Hailing System ”), in accordance with Section 5 below.

MyGCnow Hailing System.

The MyGCnow Hailing System is a service available on the Platform and offered by MyGCnow Tech. The MyGCnow Hailing System enables Users to request, signal, or “hail” qualified service providers through the Platform to review, accept, or respond to posted User estimates and project opportunities. The Platform may support hailing functions for various types of service providers, including contractors, home inspectors, or other professional providers. For purposes of this Agreement and the operational example below, the term Contractor-Hailing is used, as MyGCnow Construction’s right of first offer applies specifically to Contractor-Hailing activities. In the event a User publishes a project estimate on the Platform and MyGCnow Construction does not exercise its right of first offer, or the User opts to decline MyGCnow Construction’s offer, the project estimate shall automatically be made available to other independent contractors on the Platform. Once this occurs, the project estimate shall then be made available on MyGCnow Tech’s hailing system. The contractor-hailing process is designed to promote fairness and transparency. The summary provided below is for informational purposes only. All hailing system workflows, informational bids or estimates, AI-generated outputs, submissions, counterbids, and negotiations are conducted solely between independent parties, and MyGCnow Tech provides the Platform tools and workflow as described herein. User Modifications to Informational Estimates or “Bids” Upon receiving an informational bid sent via MyGCnow Tech’s proprietary hailing system, a User may review, revise, and further customize such bid to reflect the User’s specific project scope, including through the addition of estimate notes, preferences, and pricing inputs, each of which becoming part of the estimate record. At the User’s sole discretion, the User may ‘hail’ the bid into the Platform’s open contractor network. By hailing the bid, the User understands and agrees that the bid is being posted as an official offering to be used in negotiations with interested contractors participating within the network.

Initial Dispatch

Regardless of rating status, MyGCnow Construction, in the capacity of a general contractor under its general contractor license, maintains a right of first offer to accept or pass on any User’s official bid. If a contract is not executed with MyGCnow Construction, the User’s bid is automatically sent simultaneously to qualified contractors in the relevant trade or category. Ratings Priority Contractors, professionals, and companies with higher User ratings, which they earned, may receive early notifications or prioritized visibility. Equal Ratings If contractor ratings are equal, opportunities are released simultaneously; contractors which reply to a User’s bid progress to a bid negotiation phase. Counterbids Contractors may submit counterbids during their negotiation with the User, but other qualified contractors may still accept the User’s original posted bid unless it has been withdrawn or retracted by the User.

Acceptance of Negotiated Estimate

Once two parties mutually accept an official bid, that acceptance forms a pending agreement between the two independent parties, subject to any additional written contracts they enter, including an independent contractor agreement. If an informational bid or informational estimate generated through MyGCnow Tech’s AI offerings remains unaltered (“as-is”) during negotiations between two independent parties, any acceptance of such estimate constitutes the parties’ own review, negotiation, and acceptance of that estimate between themselves. MyGCnow Tech is not a party to that process and does not assume any broker, agent, intermediary, or similar relationship in connection with any informational document (i.e., estimate or bid), which is generated by MyGCnow Tech solely for informational reference. It is the sole responsibility of each negotiating party to review, add to, delete from, or otherwise revise any informational document produced by MyGCnow Tech as each party deems appropriate prior to entering into any acceptance or binding agreement with another party. Accuracy, Estimates, and Informational Use The Platform may include information, estimates, projections, measurements, analyses, recommendations, scans, floor plans, or other content generated by software tools, artificial intelligence, automated processes, Users, or third-party sources. All such content is provided for general informational purposes only and is not guaranteed to be accurate, complete, current, or suitable for any particular purpose. Any estimates, pricing information, measurements, scans, floor plans, schedules, timelines, or similar outputs made available through the Platform are approximations only and are not representations, warranties, or guarantees of actual costs, quantities, conditions, performance, or outcomes. Actual project conditions, pricing, scope, requirements, and results may vary materially. MyGCnow does not provide construction, engineering, architectural, legal, financial, safety, or other professional advice through the Platform. Users are solely responsible for independently evaluating, verifying, and validating any information obtained through the Platform before relying on it, including by consulting qualified professionals. Use of any information or content made available through the Platform is at the User’s sole risk. For additional terms governing AI-Generated Outputs, submission responsibility, authorship attribution, and license rights associated with content submitted through the MyGCnow Hailing System, see Sections 5(viii) and 5(ix). Artificial Intelligence Tools and Authorship The Platform may include artificial intelligence–powered, algorithmic, or automated tools that generate estimates, analyses, recommendations, descriptions, measurements, drafts, or other outputs (“AI-Generated Outputs”). These tools are provided solely to assist Users and service providers in organizing, evaluating, or developing information while using the Platform. AI-Generated Outputs are informational tools only. Prior to submission into the MyGCnow Hailing System or any other publishing, posting, or sharing mechanism within the Platform, such outputs do not constitute authored content, final decisions, professional conclusions, representations, commitments, or assurances by MyGCnow, any User, or any service provider. Submission of content derived from AI-Generated Outputs does not transform such content into certified, endorsed, validated, approved, or professional conclusions by MyGCnow. Any content submitted through the Platform reflects solely the authored conclusions, decisions, representations, and intent of the submitting User or service provider, and not those of MyGCnow. MyGCnow does not act as a decision-maker, advisor, professional, broker, certifier, or author of final content, and does not certify, approve, warrant, or guarantee the accuracy, completeness, legality, or suitability of any AI-Generated Outputs or submitted content for any particular purpose. Users and service providers remain solely responsible for determining whether and how to use AI-Generated Outputs and for independently verifying and validating all information prior to submission, negotiation, acceptance, or execution of any agreement. Each such informational document is uniquely generated from User-specific inputs and/or materials analyzed and, although individualized, remains subject to User verification. Authorship, Submission Responsibility, and User License Grant A User’s or service provider’s submission of content into the MyGCnow Hailing System, whether derived from AI-Generated Outputs or otherwise, including content submitted as-is, reviewed, modified, accepted, incorporated, or applied, constitutes that party’s independent judgment and voluntary decision to rely upon and deploy such content. At the time content is submitted, accepted, countered, or otherwise made available through the MyGCnow Hailing System, the submitting or responding party acknowledges and agrees that such action constitutes that party’s authorship and adoption of the content in that instance, including any representations, descriptions, estimates, scopes of work, pricing, timelines, requirements, conditions, accuracy of content, assumptions, exclusions, or other negotiated or communicated terms. Any subsequent edits, revisions, modifications, counter-offers, acceptances, confirmations, or other changes made during the hailing or negotiation process are deemed part of that party’s continuing authorship and adoption, and that party assumes full responsibility for all such submissions, revisions, and decisions. From the point of submission, counter-submission, acceptance, or modification forward, each participating User and service provider assumes full responsibility for their authored content, including responsibility for accuracy, completeness, implementation, legality, regulatory compliance, and adherence to applicable laws, codes, rules, and contractual obligations. All parties expressly disclaim any reliance on MyGCnow as a decision-maker, advisor, professional, broker, intermediary, or author of submitted or negotiated content, and acknowledge that MyGCnow’s role is limited to providing informational tools and a technology platform through which independent parties may interact. By submitting, accepting, countering, revising, or otherwise making content available through the Platform, each User and each service provider grants MyGCnow a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, adapt, analyze, aggregate, display, transmit, and use such content as reasonably necessary or appropriate to operate, maintain, support, secure, and improve the Platform; facilitate hailing system functionality, negotiations, matching, and User interactions; develop, test, train, and enhance current or future features, tools, services, or workflows; perform analytics, quality assurance, safety, compliance, auditing, and dispute-resolution functions; and create and distribute aggregated, anonymized, de-identified, or representative examples of Platform activity for marketing, promotional, educational, demonstrative, or commercial communication purposes, provided such use does not disclose personally identifiable information except as permitted by the submitting party or required by law. This license applies to all content submitted through the Platform’s hailing feature or any hailing system, regardless of whether such content is accepted, rejected, or acted upon by any other independent User, and shall survive any account suspension, termination, or cessation of use of the Platform. Users and service providers acknowledge that content submitted through the MyGCnow Hailing System is not confidential as between Platform participants and may be used by MyGCnow as permitted under this subsection. Each User and service provider waives any claim to attribution, approval, or moral rights with respect to MyGCnow’s permitted use of submitted content, and no compensation, royalty, fee, or other remuneration is owed to any User or service provider for MyGCnow’s use of submitted content as authorized herein. Nothing in this subsection transfers ownership of authored content to MyGCnow; except for the limited license granted herein, all rights, title, and interest in submitted or negotiated content remain with the respective authoring User or service provider. MyGCnow assumes no responsibility for decisions, actions, implementations, representations, negotiations, acceptances, or outcomes arising from content submitted, countered, accepted, or modified by Users or service providers through the MyGCnow Hailing System. MyGCnow has no obligation to retain, store, or maintain any authored content and may remove or delete such content from its records at any time without notice, subject to applicable law. Users are solely responsible for retaining independent copies of any authored works at the time such content is submitted through the hailing system if they wish to preserve them for their own records. Execution of Independent Contractor Agreement Once a User and contractor have concluded their negotiations and have confirmed mutual acceptance of an estimate, the contractor-hailing process for that specific project is automatically paused. Additional contractors may not accept or submit bids while the selected contractor and the User finalize and execute a formal, independent contractor agreement. The project opportunity remains on hold until both parties have fully executed a written agreement, at which point the interaction is considered complete and the bid process closed. Each independent party reserves the right to withdraw from or formally reject a proposed or “accepted” bid at any time prior to the execution of a formal independent contractor agreement. Participation in the bidding process is entirely voluntary and non-binding until such agreement has been duly executed by both parties. Upon any rejection or withdrawal by any party during the bid negotiation process, the User may reinitiate the hailing process for that project without restriction. This section and the procedures described herein may be modified or discontinued by MyGCnow at any time.

Prices.

Fee Applicability and Disclosure .Certain features, subscriptions, services, or Transactions made available through the Platform may require payment of fees, service fees, subscription charges, or other amounts as disclosed to the applicable User prior to completion of the applicable Transaction or enrollment. The absence of a fee, service fee, or charge for a particular Platform feature, workflow, or use does not affect whether a Supplemental Agreement applies. Agreement applicability is based on the nature of the Platform functionality accessed, not on whether a fee is assessed or collected for such use. Except as expressly stated otherwise, MyGCnow does not charge fees merely for browsing or accessing the Platform, and fees apply only when a User elects to purchase, subscribe to, or complete a paid offering or Transaction. MyGCnow Tech . When you use MyGCnow Tech, your use of such services on the Platform may result in charges to you for the services or technology-enabled offerings you receive. The types of fee for MyGCnow Tech include: (1) a technology service fee for access to or use of software or technology-enabled services, in accordance with the terms and conditions of a technology service agreement or other applicable Software End User License Agreement or Supplemental Agreement; (2) a subscription-based fee to use access additional Platform services; as disclosed to the User at the time of enrollment or purchase; and (3) one-time fees when a User purchases certain features or offerings made available on or through the Platform. All fees associated with MyGCnow Tech as described in this Section 6.2 are intended as service fees for technology services and the administration thereof. No fees associated with services offered by MyGCnow Tech shall be construed as referral fees or as commissions arising from construction services or construction performance. MyGCnow Construction . As a licensed general contractor, MyGCnow Construction shall provide general contractor services in exchange for a contractor’s fee in accordance with the terms and conditions of the Construction Agreement. Third-Party Providers . Users may engage independent Third-Party service providers through the Platform, including but not limited to contractors, inspectors, or other professional vendors. Any pricing of, or payments owed, to such Third-Parties are governed exclusively by the applicable agreements between the User and that provider.

Charges

Definition of Charges . As a User, you understand that your use of the Platform or third-party services may result in charges (“Charges”) to you and/or to an organization, if applicable. MyGCnow has the authority and reserves the right to determine and modify pricing. You are responsible for reviewing the applicable agreement or price quote within the Platform and shall be responsible for all Charges incurred under your User account regardless of your awareness of such Charges or the amounts thereof. Charges may arise from different types of Transactions, including (a) use of MyGCnow Tech services, subscriptions, or platform features; (b) Transactions between Users and independent third-party service providers; and (c) services provided directly by MyGCnow Construction pursuant to a separate written construction agreement. Facilitation and Processing of Charges . Charges incurred through the Platform may be facilitated and processed in different ways depending on the nature of the services, the parties involved, and the applicable agreements governing the Transaction. Charges arising from Transactions between Users and independent third-party service providers, including contractors, inspectors, or other professionals, may be facilitated through one or more third-party payment processors (such as Stripe or PayPal). In such cases, Users may be required to provide payment information directly to the applicable payment processor, and the collection, processing, and storage of payment information is governed by the processor’s own terms and privacy practices. MyGCnow does not control or assume responsibility for the data practices of third-party payment processors. When MyGCnow Tech provides software-based or technology-enabled services pursuant to a separate end-user license agreement or other technology services agreement, Charges for such services, including subscriptions, platform access, feature purchases, or technology service fees, may be processed through a third-party payment processor or received directly by MyGCnow, in accordance with the terms of the applicable Supplemental Agreement. When MyGCnow Construction provides services directly as a licensed general contractor pursuant to a separate written construction agreement, payment for such services may be processed through a third-party payment processor or paid directly to MyGCnow Construction, in accordance with the terms of the applicable Supplemental Agreement. MyGCnow may add, replace, or modify payment processors or payment methods at any time without prior notice. Certain Charges may be aggregated or billed as a single Transaction to a User’s selected payment method based on applicable billing cycles or Transaction timing. If a primary payment method is expired, invalid, or unavailable, you authorize MyGCnow or the applicable payment processor to charge any other payment method associated with your account. Payment facilitation or processing through the Platform does not create any escrow, trust, fiduciary, agency, or funds-holding relationship between MyGCnow and any User or independent third-party provider. With respect to Transactions between Users and independent third-party service providers, MyGCnow does not receive, hold, manage, safeguard, or control funds, does not act as a payment processor, payment facilitator, escrow agent, trustee, or financial intermediary, and does not guarantee the payment performance, solvency, or conduct of any User or third party. Where MyGCnow or any of its trade names provides services directly, MyGCnow may accept payment solely for its own services, either through an independent third-party payment processor or directly from the User using payment methods designated within the Platform or otherwise expressly approved by MyGCnow pursuant to the applicable governing agreement. In such instances, MyGCnow acts only as the service provider receiving payment on its own behalf. No Refunds . All charges and payments made to MyGCnow for its own services are non-refundable except to the extent required by law. This no-refund policy shall apply at all times regardless of your decision to terminate usage of the Platform, any disruption to the Platform, any services, subscription upgrades, features, purchases, and third-party services you may access or use, or any other reason whatsoever. MyGCnow and its affiliates have no obligation to provide refunds, credits, charge reversals, or reimbursements relating to any third-party transaction of any nature. Promotions . You may receive coupons, promotional credits, discounts, or other promotions (collectively, “Promotions”) that you can apply toward payment of certain Charges. Coupons are not transferable or redeemable for cash. Promotions cannot be combined unless expressly provided otherwise, and if the cost of your Charges exceeds the applicable Promotion value, we may charge your payment method on file for the Charges in excess of the Promotion amount. Additional restrictions on Promotions may apply as communicated to you in a relevant promotion or by clicking on the relevant Promotion. Any Promotions referenced herein apply exclusively to services offered by MyGCnow Tech or MyGCnow Construction, as applicable, do not apply to any third-party products or services, and any such third-party products or services are subject to their own terms and conditions. Charges and Payment Responsibility . If you choose to purchase Third-Party Services through the Platform, payment for such Third-Party Services may be initiated through links or payment pathways accessible via the Platform, but is routed to and completed through payment locations or methods independently provided and operated by the applicable third-party provider, and not by MyGCnow. Any payment authorization you provide in connection with such Third-Party Services shall be governed by the pricing terms established by the applicable third-party provider. For transactions entered into directly with MyGCnow or its affiliates, including MyGCnow Tech or MyGCnow Construction, payment processing may be facilitated by an applicable third-party payment processor, and Users are subject to the applicable payment processing terms and conditions of such processor, including, for example, Stripe. Payment Card Authorization . Upon addition of a new payment method or each request for any services, subscription upgrades, features purchases, and third-party services, MyGCnow may seek authorization of your selected payment method to verify the payment method, ensure the Charges will be covered, and protect against unauthorized behavior. The authorization is not a charge; however, it may reduce your available credit by the authorization amount until your bank’s next processing cycle. Should the amount of our authorization exceed the total funds on deposit in your account, you may be subject to overdraft of NSF Charges by the bank issuing your debit or prepaid card. MyGCnow is not responsible for these Charges and is unable to assist you in recovering them from your issuing bank. Limitation of Liability. To the maximum extent permitted by applicable law, MyGCnow shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation damages for loss of profits, loss of business, loss of data, loss of goodwill, interruption of service, personal injury, property damage, or other intangible losses, arising out of or relating to the use of, inability to use, or reliance upon the Platform, any content made available through the Platform, or any services, Transactions, or interactions between Users or third parties, even if MyGCnow has been advised of the possibility of such damages. Without limiting the foregoing, MyGCnow shall have no liability for any acts, omissions, conduct, representations, warranties, pricing, estimates, bids, performance, or outcomes of any User or third party, including contractors, professionals, inspectors, vendors, or service providers, whether or not such parties are accessed, identified, communicated with, or engaged through the Platform. To the maximum extent permitted by law, MyGCnow’s total aggregate liability to any User for any and all claims, damages, losses, or causes of action arising out of or relating to these Terms, the Platform, or any Charges shall not exceed the greater of (a) the total amount of fees actually paid by such User to MyGCnow in the one (1) month immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100). MyGCnow assumes no responsibility or liability for errors, inaccuracies, omissions, or outcomes resulting from informational content, estimates, measurements, scans, floor plans, pricing, recommendations, or other outputs generated through software tools, artificial intelligence, automated processes, Users, or third-party sources, all of which are provided for informational purposes only and relied upon at the User’s sole risk. Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law. For clarity, MyGCnow does not charge a fee for Users to access various features of the Platform, but retains the right to charge Users and/or organizations, if applicable, a fee or any other charge for accessing or using other services, subscription upgrades, features , purchases, and third-party services made available through the Platform. MyGCnow may, in its sole discretion, modify the pricing, availability, or categorization of any Platform feature or service. This includes the right to convert existing free features into paid services, to reduce or eliminate fees associated with paid services, or to introduce new fee-based offerings at any time. Any such adjustments will take effect upon posting within the Platform or as otherwise communicated to Users.

Prohibition on Kickbacks and Referral Compensation.

Prohibition on Kickbacks . MyGCnow operates under a strict no-kickback policy. Use of the Platform features is open to all Users and service providers equally, without regard to referral activity. No preferential treatment or compensation is provided in exchange for referrals. Prohibition on Referral Compensation. No User or service provider may offer, request, or accept any payment, commission, gift, or “thing of value” for the referral of business involving MyGCnow services or between Users, particularly where such arrangements would violate laws such as the Real Estate Settlement Procedures Act (RESPA) or similar anti-kickback statutes.

Licenses and Restrictions

Limited License . As a User of the Platform, you are granted a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Platform per these Terms. MyGCnow may terminate this license at any time for any reason. Certain services on the Platform may require login information as described below. Notwithstanding the license in this section, certain services on the Platform may require you to register and/or pay to access and use features. Limitations . You may use the Platform only for lawful purposes and in accordance with these Terms.

You agree not to use the Platform:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries). In any way that violates the Real Estate Settlement Procedures Act. To engage in any activity or conduct that is or can be perceived as fraudulent, misrepresentative, or deceptive. To circumvent any security protocol and barriers on the Platform or third-party payment systems. Use the Platform to defame, stalk, threaten, or otherwise harass any person or User. Use the artificial intelligence features on the Platform for unlawful or misleading purposes. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise. To transmit, or procure the sending of, any advertising or promotional material including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation. To impersonate or attempt to impersonate the Company, a Company employee, another User, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing). To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm the Company or Users of the Platform, or expose them to liability. Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Platform, including their ability to engage in real time activities through the Platform. Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform. Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent. Use any device, software, or routine that interferes with the proper working of the Platform. Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform. Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack. Otherwise attempt to interfere with the proper working of the Platform. You acknowledge that we have the right to monitor your access or use of the Platform for the purpose of operating and improving the Platform (including without limitation for security analysis, fraud prevention, risk assessment, troubleshooting and customer support purposes), to ensure your compliance with these Terms and to comply with applicable law or the order or requirement of a court, consent decree, administrative agency, or other governmental body. If MyGCnow believes, in its sole discretion, that you may violate, have violated or attempted to violate any of these Terms or any policies referenced herein, your use and access to the Platform may be limited, temporarily revoked, or permanently revoked and your account may be modified or removed from the Platform in our sole discretion without notice to you.

Intellectual Property Rights

10.1 Platform Content and Ownership. The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service permit you to use the Platform for your personal, non-commercial use only. For clarity, ‘non-commercial use’ does not preclude authorized organizational use of the Platform, or of any free Platform features intended for Users and businesses to interact within the parameters described in these Terms of Service and any Supplemental Agreements, where the organization has lawfully procured access to MyGCnow technology services for deployment solely within its own approved business operations and only to the extent the Platform’s licensed functionality is used as intended. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows: Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials. You may store files that are automatically cached by your Web browser for display enhancement purposes. If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, or approved organizational use, provided you agree to be bound by our End User License Agreement (“EULA”), these Terms of Service, the Privacy Policy, and any applicable Supplemental Agreement, each having precedence as described in the applicable documents. If we grant a User-based access credential that is tied to your individual account rather than a specific device, you may use that credential to access the Platform across multiple compatible devices, provided you agree to be bound by our End User License Agreement (“EULA”), these Terms of Service, the Privacy Policy, and any applicable Supplemental Agreement, each having precedence as described in the applicable documents.

You must not:

Modify copies of any materials from this site or Platform. Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site. You must not access or use for any unapproved commercial purposes any part of the Platform or any services or materials available through the Platform. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Platform in breach of the Terms of Service, your right to use the Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Platform or any content on the Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Platform not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, patent, and other laws. The Company name and all related names, logos, product and service names, designs, scripts, service names, graphics and slogans are registered trademarks or trade dress of the Company or its affiliates or licensors in the United States and/or other countries. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners. Notwithstanding the foregoing, Users are permitted to modify their personal platform-generated bids, estimates, counterbids, or other responsive pricing submissions. Platform generated outputs are provided for informational purposes only and may contain inaccuracies; therefore, Users are (1) expected to review informational outputs for corrections, and (2) make necessary revisions to reflect their specific project scope, requirements, intentions, and desired outcomes before submission to the MyGCnow Hailing System. Users may add clarifications, corrections, or supplemental information within the estimate notes section, which clarifications, corrections, or supplemental information, when added, are incorporated into and deemed part of the estimate (“ Estimate Notes ”) to revise a previously generated estimate, or may elect to begin the estimate process anew and provide revised responses or inputs to generate a new estimate that accurately reflects their project scope, intentions, and desired outcomes. By submitting, sharing, distributing, transmitting, or hailing any such estimate, counter estimate, counteroffer, bid, or related submission, or otherwise sharing any such content with another party through the platform, the submitting or transmitting party, whether a person or organization, represents that the content, as modified, regenerated, revised, or exchanged through any iteration of the negotiation process, accurately reflects that party’s intentions, project scope, and desired outcomes, subject to the representations, disclaimers, and responsibilities set forth in these Terms of Service, Privacy Policy, EULA, and any Supplemental Agreement, each having precedence as described in the applicable documents. MyGCnow does not warrant, guarantee, verify, or assume responsibility for the accuracy of platform-generated content, for revisions, counteroffers, or modified estimates submitted by third-party service providers, for any subsequent modifications made by the User, or for the use of any such content in any manner. All parties should consult their designated professionals prior to making any decisions, commitments, agreements, or representations based on such content, and remain solely responsible for verifying that all submitted information is accurate, complete, and appropriate for its intended use. All parties engaged in a negotiation or exchange of estimates should carefully review any revised estimate, Estimate Notes, or other accompanying content received from another party, which may contain revisions, assumptions, exclusions, qualifications, pricing changes, or other modifications presented by the responding party, before proceeding, relying, acting upon, or entering into any binding agreement based on such revised content; by proceeding in response to or in reliance upon any such revised estimate, Estimate Notes, or other accompanying content, the proceeding party, whether a person or organization, acknowledges and represents that it has reviewed and accepted the content thereof, and MyGCnow disclaims liability arising from a party’s failure to do so. Submission of any platform-generated, AI-generated, or platform-assisted content into the MyGCnow Hailing System constitutes the submitting party’s independent judgment and authorship of the content submitted in that instance and does not constitute certification, endorsement, or validation by MyGCnow. Additional terms governing AI-Generated Outputs, submission responsibility, authorship attribution, and license rights are set forth in Sections 5(viii) and 5(ix).

10.2 User Contributions. The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “ Interactive Services ”) that allow Users to post, submit, publish, display, or transmit to other Users or other persons (hereinafter, “ post ”) content or materials (collectively, “ User Contributions ”) on or through the Platform.

All User Contributions must comply with the Content Standards set out in these Terms. Any User Contribution you post to the Platform will be considered non-confidential and non-proprietary, except to the extent expressly governed by a separate written agreement or applicable law. By providing any User Contribution on or through the Platform, you grant MyGCnow and its affiliates, service providers, and respective licensees, successors, and assigns a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use such User Contributions for purposes reasonably necessary to operate, provide, maintain, secure, support, and improve the Platform, enforce these Terms, and comply with applicable law. Without limiting the foregoing, any content submitted, accepted, countered, revised, or otherwise made available through the MyGCnow Hailing System is additionally governed by the authorship, submission responsibility, and license terms set forth in Section 5(ix), which are incorporated herein by reference and control in the event of any inconsistency.

You represent and warrant that:

You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns. All of your User Contributions do and will comply with these Terms of Service. To the extent permitted by law, you waive any claim to attribution, credit, approval, or moral rights in User Contributions as against MyGCnow’s permitted uses under these Terms. You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other User of the Platform.

Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion. Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Service, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of Users of the Platform or the public, or could create liability for the Company. Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy. Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform. Terminate or suspend your access to all or part of the Platform for any or no reason, including without limitation, any violation of these Terms. Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY OR ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY, SUCH PARTIES, OR LAW ENFORCEMENT AUTHORITIES. However, we do not undertake to review material before it is posted on the Platform and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any User or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Relationship of MyGCnow and You

You are an independent third party to MyGCnow and nothing in these Terms create or represent that there is any partnership, joint venture, agency, franchise, sales relationship, or employment relationship between you and MyGCnow.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not: Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable. Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. Capture, record, upload, post, transmit, or otherwise disclose any photograph, video, audio recording, or other depiction of an individual’s image, voice, likeness, or identifying characteristics, including any incidental or background capture of individuals or confidential or otherwise protected information, without that individual’s lawful consent or any other permissions required by applicable law. Contain, disclose, or facilitate the disclosure of confidential, proprietary, private, or sensitive information of any person or entity, including personal data, financial information, health information, login credentials, trade secrets, or non-public business records, unless the User has lawful authority to share such information for a legitimate Platform-related purpose. Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights, or other proprietary rights, of the Company or any person or entity. Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Service and our Privacy Policy Privacy Policy. Be likely to deceive any person. Promote any illegal activity, or advocate, promote, or assist any unlawful act. Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person. Impersonate any person or misrepresent your identity or affiliation with any person or organization. Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising. Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Reliance on Information Posed or Provided Through the Platform

The information presented on or through the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents. This Platform may include content provided by third parties, including materials provided by other Users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. These materials do not necessarily reflect the opinion of the Company. AI-generated materials, recommendations, estimates, or outputs made available through the Platform are provided for general informational purposes only and may include inaccuracies, omissions, or other errors. MyGCnow does not certify, endorse, validate, approve, or guarantee such outputs or any submitted content derived from them. Users and service providers are solely responsible for independently evaluating, verifying, and revising any such information prior to reliance, submission, negotiation, acceptance, or execution of any agreement. Additional terms governing AI-Generated Outputs, submission responsibility, authorship attribution, and license rights associated with content submitted through the MyGCnow Hailing System are set forth in Sections 5(viii) and 5(ix). Automated credential verification services, posted credentials, licensure information, registration status information, compliance indicators, assertions or offerings referencing local, state, or national laws, rules, or regulations, linked third-party or governmental resources, and similar information or functionality made available on or through the Platform are provided solely for general informational and convenience purposes and may contain inaccuracies, omissions, delays, outdated information, broken or discontinued links, incomplete information, or other errors, and may not reflect all credentials, licenses, approvals, registrations, disciplinary history, eligibility requirements, legal requirements, or other information relevant to a particular project, jurisdiction, Platform offering, or user decision. MyGCnow does not warrant, represent, certify, monitor, or guarantee the accuracy, completeness, currency, availability, or continued accessibility of any such information, services, or linked resources, and assumes no obligation to update, validate, monitor, maintain, or ensure the continued accuracy or operability of any such information, services, or links. Any such information is subject to independent verification and may be supplemented, superseded, contradicted, or affected by applicable licensing authorities, governmental agencies, insurers, sureties, credentialing bodies, third-party sources, project-specific requirements, rules, regulations, laws, or other applicable authorities or sources. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY PLATFORMS LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER PLATFORMS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), EXCLUSIVE REMEDY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM, DISPUTE, OR DISSATISFACTION ARISING OUT OF OR RELATING TO THE PLATFORM, ANY CONTENT, FEATURES, TOOLS, TRANSACTIONS, OR ANY SERVICES OR INTERACTIONS CONDUCTED THROUGH OR IN CONNECTION WITH THE PLATFORM IS TO DISCONTINUE USE OF THE PLATFORM. EXCEPT AS EXPRESSLY REQUIRED BY APPLICABLE LAW OR EXPRESSLY SET FORTH IN A SUPPLEMENTAL AGREEMENT (IF ANY) ENTERED INTO BETWEEN YOU AND MYGCNOW, NO OTHER REMEDY SHALL BE AVAILABLE, THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Platform, including, but not limited to, your User Contributions, any interactions, Transactions, projects, bids, estimates, services, or agreements between you and any other User or third party conducted through or in connection with the Platform, your use of the Platform’s content, services, and products other than as expressly authorized in these Terms, your breach of your representations and warranties provided under these Terms, or your use of any information obtained from the Platform. MyGCnow reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree to pay all reasonable defense costs, attorneys’ fees, and related expenses as they are incurred, to the extent arising from or relating to the matters subject to your indemnification obligations under these Terms.

Governing Law and Jurisdiction

All matters relating to the Platform and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Wyoming without giving effect to any choice or conflict of law provision or rule (whether of the State of Wyoming or any other jurisdiction). Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the state courts located in Wyoming or the federal courts located in Wyoming, although we retain the right, but not the obligation, to bring any suit, action, or proceeding against you for breach of these Terms in your county, state, or country of residence, or in any other court of competent jurisdiction or other relevant jurisdiction. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Dispute Resolution

The parties will first attempt in good faith to promptly resolve any disputes arising out of or relating to these Terms (or the breach, termination, enforcement, interpretation, or validity thereof) (each a “Dispute”) by negotiation between representatives of each party with the authority to resolve such Dispute informally for at least thirty (30) days before initiating any arbitration. Informal negotiations begin upon written notice from one party to the other. You will send notice to MyGCnow at the address provided in Section 26 herein. MyGCnow will send notice to you at your address in our records or by email to the email address provided by you in connection with your use of the Platform. At Company’s sole discretion, it may require you to submit any disputes arising from these Terms or use of the Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration administered by the American Arbitration Association in accordance with its applicable rules, with the laws of the State of Wyoming governing.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Entire Agreement

The Terms of Service and Privacy Policy constitute the sole and entire agreement between you and MyGCnow regarding general access to and use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such access and use. If you (or the organization you represent) enter into an EULA or any Supplemental Agreement with MyGCnow applicable to specific products, services, features, Transactions, submissions, hailing activity, purchases, or use cases made available through the Platform, any such EULA or Supplemental Agreement shall apply solely with respect to the subject matter to which it applies. In the event of any conflict or inconsistency among these Terms of Service, the Privacy Policy, any applicable EULA, and any applicable Supplemental Agreement, the order of precedence set forth in the applicable documents shall govern, with each document controlling solely to the extent and with respect to the subject matter to which it applies. Except as expressly modified or superseded in accordance with the applicable order of precedence, these Terms of Service, the Privacy Policy, and, where entered into, the applicable EULA and any applicable Supplemental Agreement, will otherwise remain in full force and effect.
